Does the Registered Office Service provide an ‘appropriate address’?
Yes. Every UK company must ensure that its registered office is always at an ‘appropriate address’ to comply with requirements introduced by the Economic Crime and Corporate Transparency Act 2023.
An address will be considered to be an "appropriate address" if, in the ordinary course of events:
- a document addressed to the company and delivered there by hand or by post, would be expected to come to the attention of a person acting on behalf of the company; and
- The delivery of documents can be recorded by obtaining an acknowledgement of delivery.
Our Registered Office Service satisfies both requirements and will be considered an ‘appropriate address’ for companies incorporated in England and Wales.
Can I change my Registered Office address after company formation?
Yes, you can change the address of your registered office at any time after setting up a company, but it must always remain in the same country. Companies House must be notified immediately if you change this address, and you should ensure all business stationery, correspondence and your company website clearly display the new registered office address.
Can I use the Registered Office Address Service as my service address?
Company directors, shareholders (who are also persons with significant control), and company secretaries must each provide Companies House with a service address (also known as a correspondence address) which will be displayed on the public register.
Should you prefer to keep your home address off the public record and use our address, you must purchase our Service Address Service at a cost of £26.00 per year. You will be provided with the same London address, but you cannot use the Registered Office Service for this purpose.
What mail is covered by the Registered Office Service?
We will accept all mail addressed to your company from official government bodies including Companies House, HMRC and the Information Commissioner’s Office (this list is not exhaustive). The service also includes the forwarding of Court Documents.
Can I use the Registered Office Address Service to receive other business-related mail?
No. 1st Formations’ Registered Office service can only be used for the receipt and forwarding of UK government mail and Court documents. However, our London address is available as a Business Address Service that you can purchase separately online. This service will allow you to have all general business mail delivered to this address and then forwarded on to you by scan and email. Any items of value, such as bank cards, will be forwarded to an address of your choice.
How is official government mail forwarded to me?
When your mail arrives we will securely open, scan and then email it to you on the same day - free of charge.
What if I need to change my email address that receives my mail?
If you need to change the email address that we send your mail to, you can do this by logging into the Online Client Manager, going to ‘my details’, and updating your primary email address.
You can also view your mail whenever you want by logging into your Online Client Manager and selecting the ‘My Mail’ option. You will then be able to view and download PDFs of all the government mail that we have received for you.
What if an item of government mail must be physically forwarded on?
Occasionally we may receive an item of mail where you need the physical copy, rather than a scan, for example a cheque from HMRC. In these instances, we will forward the letter by Royal Mail post to your ‘Forwarding Address’. You can check/update this address from the ‘My Service & Renewal’ section in the Online Client Manager.
Is mail forwarding free with this service?
Yes. Any registered office mail will be forwarded to you by scan and email for free. Any items which require physical forwarding, such as cheques, are forwarded by post to UK addresses for free. For international postage, we charge Royal Mail rates plus 15%.
Can I use the Registered Office Address Service for all my companies?
You will need to purchase our Registered Office Service for each company that will be using our address.
Can I use the Registered Office Service if I don’t live in the UK?
Absolutely. Because a UK limited company or LLP must have a UK-based registered office, this service can be particularly useful if you are a non-UK resident, as it provides you with a suitable address that you can use as your registered office address.
Do you offer other methods of mail forwarding?
Yes, mail can be sent via Royal Mail tracked and DHL. If you speak to our mail team, they can arrange this for you.
Is the Registered Office Service appropriate for all companies?
Yes. This service can be used by the following UK registered entities, including private companies limited by shares, private companies limited by guarantee, public limited companies (PLCs), and limited liability partnerships (LLPs).
However, the service is not suitable if your company has already been set up with a registered office that is in Scotland, Northern Ireland or Wales. This is because the registered office address must be in the jurisdiction the company was registered in. The UK has 5 jurisdictions, Scotland, Northern Ireland, Wales, England, and England and Wales.
